No.If so, how do they do it?The details of this would need to be worked out by the organization in amending the bylaws to authorize it. Any action taken thusly would need to be ratified at the next Board meeting, and the possibility that such a motion might fail could leave certain Board members personally "on the hook" for it, including any expense or legal repercussions. If action on such a basis is necessary in an emergency, it must be ratified (pp. 118-20) at the next regular board meeting in order to become an official act of the board."
