Guest Wildcat Posted April 13, 2011 at 01:44 PM Report Share Posted April 13, 2011 at 01:44 PM Our bylaws state that we have to have 3 officers present to hold a meeting. We have P, VP, S, T and a Parli. The Parli has sent out an email saying she has to give up her position because of her business is picking up. The S/T is one person. Which leaves the P & V.P. My question is does the person holding 2 offices count as 2 officers present and 2 votes?
jstackpo Posted April 13, 2011 at 01:59 PM Report Share Posted April 13, 2011 at 01:59 PM No to both questions.Suggestion: Next chance you get strike the "three person" quorum requirement from your bylaws. Then RONR's default of a majority will kick in and your (new) (with the parliamentarian still gone) quorum would drop to 2.
