However, it was discovered that the quorom requirement (number of members present to vote) was miscalculated before the voting and therefore resulted in a vote of the amendment not passing by one vote. If so, how do we present it to membership?If you didn't have a quorum at the meeting, it wouldn't have mattered if everyone voted for the amendment. So next time, first make sure there is a quorum present.Then, whatever your bylaws define as the process for bringing an amendment before the membership for a vote must be followed. This often requires previous notice, and may even be restricted to your annual meeting for consideration. Whatever the amendment section of your bylaws includes for the process will tell you how to go about it again. So, accordingly, just take another go at it. If so, how do we present it to membership?The quorum requirement has nothing to do with the voting threshold, and could not result in something not passing by one vote. It could have resulted in it not being in order to vote at all, but if it was valid to conduct business because a quorum was present, then the vote requirements do not depend upon the quorum requirement.
