by law proposed changes

Our annual membership meeting is around the corner and by law amendment proposals are on the agenda. We have a by-law committee with a chair and three members that was not able to meet to discuss said changes. The president of our club (the member that couldn't meet) took it upon himself to create a proposal of multiple changes to by-laws. The president has also created a packet of information for the meeting with said by-law proposals. Each proposal states that these proposals were "Requested by the by-laws committee and Board of Directors". If these by-law proposals were created by the president and not the committee, are they valid? Can the membership do anything to prevent this from coming to the floor for votes?

If the proposals are "Requested by the by-laws committee and Board of Directors" that doesn't necessarily mean that the proposals have to come from the committee (or Board) but merely that the committee and Board requested them. However, check the bylaws to see if amendments can be proposed by a single member or if they have to be reviewed by some other body first.

A couple of other thoughts.

1. I really don't see a problem with any individual's offering proposals for amending bylaws. Like any other proposal.

2. If the bylaws committee does not have a report, and the board has no report, then no one is justified in purporting to present any.

3. If the membership doesn't like the proposals, for any reason, for instance that the elected President falsely claims that the committee and the board approved of the proposals, the membership can vote them down.

OK. Very considerate, to provide written documentation. Very forward thinking.

You assert that the statement above is a lie?

I wouldn't argue with you. -- When an individual, on his own initiative, writes a document, and then asserts that many people wrote the document, then he is lying.

So, you are saying, your president is a liar.

OK.

If these by-law proposals were created by the president and not the committee, are they valid?

Yes.

Any member is free to propose changed to one's bylaws.

Q. What makes you think otherwise?

Q. Why can't your president exercise a right of membership (namely, to make a motion)?

Can the membership do anything to prevent this from coming to the floor for votes?

No.

Why should the assembly prevent these proposals?

What is wrong with the proposals?

Why suppress them?

Why are you straight-jacketing your president?

Would you do the same if the treasurer or the secretary did the same thing?

I'm not seeing the problem, either. OK, it's dishonest to say the committee requested the proposals if they didn't. So state the facts and be done with that. Is there something in your bylaws that requires proposed bylaw amendments to be vetted or something by the committee first?
