Guest Judy Shearouse Posted May 26, 2011 at 04:52 PM Report Share Posted May 26, 2011 at 04:52 PM Our board went in to executive session to discuss personnel matters. However some regular business was discussed and voted on without going back in to the regular meeting. The vote was not unanimous so we cannot do a consent agreement. Action has already been done on these items. How can we correct the error...

Josh Martin Posted May 26, 2011 at 04:57 PM Report Share Posted May 26, 2011 at 04:57 PM How can we correct the error...So far as RONR is concerned, there is no error. RONR places no limitations on the types of business which may be conducted in executive session. Some organizations have customized rules or applicable laws on such matters, but that is beyond the scope of this forum.

How can we correct the error...So far as RONR is concerned, there is no error to correct; a board (or any other assembly) may meet in executive session for any reason, or no particular reason at all, and there is no restriction on what can be done in executive session. If your board is a public body subject to a sunshine law, then I suggest you contact your attorney ASAP for advice. If you are not a public body, but your bylaws restrict the business you can conduct in executive session, I suspect you still can ratify the action at a meeting held in open session; but the organziatiion will have to interpret the bylaws provisions for itself to decide if that is an option.
