What procedure must be followed if the president resigns from office.

Is it the following?

1. The president may appoint someone to full the remainder of the term (in this case 12 months)

However, I was told that one can only be appointed for a maximum for six months. If that is true how does one get around that rule if the body is happy with the appointment.

Per RONR, if the President resigns, the Vice-President automatically becomes the President. You would then have a vacancy in that VP office. Your bylaws should hopefully detail a procedure to fill such mid-term vacancies.

If not, you will need to hold a special election for a new VP. If your bylaws allow for Special Meetings, they should also define who can call them (such as the President), and he could give notice of such a meeting for the election. Otherwise you may have to wait until your next regular meeting.

You should also check your bylaws to see if there's any language in there about filling the vacancy explicitly for the office of President. If there's nothing there, then the RONR default is the VP moves up one rung automatically, and you go from there.

Um.... yeah, well.... ask this person for documentary proof. It won't be in RONR, but if there are other rules in force, that could be another story.

Check the bylaws to see if there is a prescribed way to fill the vacancy. The general law is that the vice president becomes the president and serves out the remainder of the term. If there is not a vice president, the body that elected the president holds an election to fill the vacancy, previous notice of the election being required for validity.

If the president has resigned, he's no longer the president and can't make any appointments (assuming he could, which is doubtful). If he hasn't resigned then there's no vacancy to fill.

I was told that one can only be appointed for a maximum for six months.

Well, people tell people lots of things. One guy told people the world would end (more or less) on May 21. Now he says it's October 21. So hold off on buying any Halloween candy.
