One member of our Board of Directors has taken a leave of absence for health reasons. The removal precedings are expected to begin before the Director's health leave is up. Our bylaws do not allow for proxy votes at removal proceedings. Even though a Director is on leave, would that person be allowed to attend the special meeting and vote if health allows? If the Director is a member of the Board, he retains his membership rights including the right to attend meetings and to vote. Your rules may vary.
