Guest Jean Posted July 3, 2011 at 02:43 PM Report Share Posted July 3, 2011 at 02:43 PM If the president of the board resigns after calling a executive meeting. can that meeting he called still take place and is it a legal meeting if they do. If you there is only 6 seated members out of 9 how many needs to attend to make it legal.
Gary Novosielski Posted July 3, 2011 at 03:04 PM Report Share Posted July 3, 2011 at 03:04 PM If the president of the board resigns after calling a executive meeting. can that meeting he called still take place and is it a legal meeting if they do. If you there is only 6 seated members out of 9 how many needs to attend to make it legal. If the meeting was properly called, then it can take place. You should look in the bylaws for the quorum requirement. However, if your bylaws are silent on the matter, then RONR specifies a majority of the members. If there are six members, then a majority is more than half of that, or at least four.
J. J. Posted July 3, 2011 at 03:16 PM Report Share Posted July 3, 2011 at 03:16 PM The resignation would not be effective until it is accepted, unless the bylaws say otherwise. The president would still be at the called meeting.

Tim Wynn Posted July 5, 2011 at 11:21 PM Report Share Posted July 5, 2011 at 11:21 PM You bringing him?I'm guessing that J.J. accidentally omitted a word, which points out that the absence of "president" implies the presence of the president.
