DrPVSuglia Posted July 18, 2011 at 11:25 AM Report Share Posted July 18, 2011 at 11:25 AM If there are enough board members to constitute a quorum present in a gathering, can they hold an impromptu meeting at that time if there is a specific issue to be discussed? David A Foulkes Posted July 18, 2011 at 11:34 AM Report Share Posted July 18, 2011 at 11:34 AM Per RONR, no. For meetings that aren't regularly scheduled and detailed as such in the bylaws, notice would need to be sent to all members of the assembly that is (or would be) meeting. Robert B Fish Posted July 18, 2011 at 11:46 AM Report Share Posted July 18, 2011 at 11:46 AM Some members of this board feel that if ALL the members were to gather, that would constitute waiver of notice and the meeting would be proper. Otherwise, the actions at said imprompto meeting are null and void.-Bob

See RONR(10th ed.), p. 469, l. 24 - p.470, l. 2.
