RONR prohibits proxies unless authorized by the Bylaws and strongly advises that organizations should not authorize proxies. It has no guidance regarding their use.RONR does address the topic of special meetings, however, and a special meeting may only conduct the business included in the call of the meeting. Based on this, I'm left wondering whether a call which "leav[es] the door open to address any other member need" is proper. The rule is that only the business mentioned in the call of the special meeting can be validly transacted, RONR (10th ed.), p. 90, ll. 16-24.
