Proxy

A special membership meeting has been called. Proxys went with the Notice of Meeting identifing one topic but leaving the door open to address any other member need.

The Notice of Meeting explains the proxy relates only to the single purpose of the meeting and that if any other issues require a vote the decision will be based on those present.

The bylaws simply state that "proxies will be allowed".

Is this adequate?

It will be up to your organization to interpret its own (unfortunately vague) rules regarding proxies. RONR prohibits proxies unless authorized by the Bylaws and strongly advises that organizations should not authorize proxies. It has no guidance regarding their use.

RONR does address the topic of special meetings, however, and a special meeting may only conduct the business included in the call of the meeting. Based on this, I'm left wondering whether a call which "leav[es] the door open to address any other member need" is proper. I'm inclined to think it is not, barring some language in the Bylaws to suggest otherwise.

Although you did not ask about it, the real problem here has to do with these "other issues". The rule is that only the business mentioned in the call of the special meeting can be validly transacted, RONR (10th ed.), p. 90, ll. 16-24.
