He held onto the resignation without notifying the BOD once he recieved it. Once he notified the BOD the board accepted the resignation and agreed not to fill the position until the upcoming election. What procedures should the BOD take regarding this matter. If there is, then it should be observed. If the bylaws are silent about filling vacancies, then the electing body needs to proceed to fill the vacancy in the normal way (usually by nominations and an election), as soon as possible, previous notice being required for validity. See RONR (10th ed.), p. 557, ll. 16-19.No rule in RONR gives the president the power to appoint a secretary.
