Is it permissable for the Treasurer and Secretary to be considered as directors of a Board and do they have a right to vote at Board meetings? Could they vote if that section of the By-law making them directors was not in the By-laws?Any information that you could offer would be greatly appreciated. Chris Harrison Posted September 15, 2011 at 02:14 PM Report Share Posted September 15, 2011 at 02:14 PM If the bylaws say they are Directors then they are Directors and unless the bylaws say otherwise they would have all the rights of a Director (RONR p.3, pp. 466-467). If the bylaws didn't make them Directors by the nature of the office they hold then they would not be Directors unless they were elected to be a Director.Edited to add extra citation. Something is either in the Bylaws or it is not in the Bylaws. How can a section of the bylaw making them directors not be in the bylaws, as you state?
