Guest LILY Posted November 11, 2011 at 07:29 PM Report Share Posted November 11, 2011 at 07:29 PM If the Board of Directors of a non-profit organization vote 7 - 2 in favor of removing an item from the property and the membership disagrees with the vote - can the membership overturn the vote at an Annual Meeting? There is no cost involved - it is a cosmetic change to the property.

Rev Ed Posted November 12, 2011 at 04:23 AM Report Share Posted November 12, 2011 at 04:23 AM You need to check the organization's By-laws and and applicable statute. The general membership does not always have the right to directly overule the Board. In some organizations the general membership has to remove, or elect new Board members, in order to change a Board decision.
