carlw1@earthlink.net Posted November 29, 2011 at 05:33 PM Report Share Posted November 29, 2011 at 05:33 PM Our Bylaws state in the “Meetings” Article that “Any votes taken at General or Special meetings, other than for election of officers, shall be in the form of a recommendation to the Board of Directors.” But in the “Amendments” Article it states “The new By-Laws shall be ratified at the following general meeting by a simple majority of those members present.”It look as if that these articles are in conflict with each other one says all that general members can do at a general meeting is vote on is the election of officers but in the amendments article it says they shall ratify amendments to the Bylaws.It would seem that the writers of the Bylaws have painted themselves and the general membership into a corner.
