We have in our constitution that a president has the right to conduct meetings without the presence of rambunctious members (including directors). There is one director that we feel is inhibiting the remainder of us and we do have documentation of her inability to be a 'team' member. We are giving the required ten days notice of a special meeting to attempt resolution of the problem and we need to ask if this director must be named in our announcement and must she /he be present. It sounds as though you do.RONR Chapter 20 tells how to discipline (and remove) members, but those are the default rules. Yours would supersede RONR's rules. (RONR 11 p. 91 ll. 31-35) Whether this member wishes to attend is her choice, as a right of membership. (RONR 11, p. 3 ll. 1-5) What your rules say in unknown. Since it seems the disciplinary process won't actually start until the special meeting, the member still has such rights at this point, unless something in your Bylaws suggests otherwise.
