Guest Guest Posted December 15, 2011 at 06:25 PM Report Share Posted December 15, 2011 at 06:25 PM Our corportion has a Board and a Park Manager. Recently the President of the Board and our Secretary fired our Park Manager without the consent of the entire Board. It does not state anywhere in our By-Laws that he has that kind of authority. What can we do?
Chris Harrison Posted December 15, 2011 at 07:15 PM Report Share Posted December 15, 2011 at 07:15 PM Tell the Park Manager that he still has his job because the President and Secretary didn't have the authority to fire him (unless the bylaws give the Secretary the authority to do so-which would be quite unusual). Then the Board should set the President and Secretary straight on what powers they have and don't have. See FAQ #20 for disciplinary options. Guest Edgar Posted December 15, 2011 at 08:54 PM Report Share Posted December 15, 2011 at 08:54 PM How much power does a Board President have? It's best to think of officers as having added responsibilities rather than added power. In fact, in many instances, the chair, for example, is restricted from exercising many of the rights of membership (see FAQ #1).

The OP said that the bylaws don't grant the President the authority to fire the Park Manager which is good enough for me. But I guess it can't hurt to suggest that the OP check any applicable rules in the very unlikely chance that they grant the President and/or Secretary the authority to unilaterally fire an employee. Guest j Posted December 17, 2011 at 02:29 AM Report Share Posted December 17, 2011 at 02:29 AM our by-laws do make the president C E O of the corp. and he shall have the general powers and duties of supervision and management usually vested in the office of president of a corporation. would this not give him authority over a park manager ?
