Guest Ange Posted January 10, 2012 at 03:58 PM Report Share Posted January 10, 2012 at 03:58 PM We have minutes from a nominating committee meeting where a slate of officers was developed for approval by the full board. when the full board met, one of the proposed officers had declined the position and it was stated in the board meeting, during the committee report, that the committee would have to meet again before the next meeting to develop a new slate. the committee did not meet however, instead the new slate was cofirmed by phone but no record made. the new slate was presented at the next board meeting. am i required to amend the original minutes of the committee meeting to reflect the new approved officers or is it sufficient that the approval is in the minutes of the full board meeting where they were approved? But minutes, if kept, shoudl reflect what happened at the meeting; they should not be "corrected" based on something that happened after the meeting.
