In regards to board approval of annual meeting minutes, do board members who resign prior to the distribution of the draft minutes eligible to vote ?

In regard to board approval of annual meeting minutes, are board members who resign from the board prior to submission of the draft annual meeting minutes eligible to vote to approve the minutes?

Only those who are members of the Board at the time the vote is taken can vote.

Which is also to say that, until the board members' resignations are officially accepted (by vote or unanimous consent at a proper meeting), they are still members of the board with full rights. So, when the annual meeting minutes are up for approval, if those resignations haven't been properly accepted, the answer to your question is yes. Otherwise, it's no.
