Vacancy on a Committee

Guest Dan

Recommended Posts

The Hearings Committee is a standing committee. Its members are elected by the membership of the entire body of the organization. The by-laws are silent on the subject of filling vacancies on this committee or any standing committee. What guidance does RONR provide on filling committee vacancies when the by-laws are silent? Thanks

If special meetings are allowed, then a special meeting should be held to elect someone to fill the vacancy. The notice for the meeting would serve as notice of the election as special meetings can only deal with issues specifically meant to be dealt with at the meeting (in other words, only issues mentioned in the notice/call for the meeting are allowed to be discussed and voted on.)

Fill the vacancies in the same manner as you filled the (now vacant) positions first time around.

In your case, from what you wrote, it looks like an election is needed. And notice must be given ahead of time, as for any election.

There is no requirement in RONR that notice be given in order to fill a vacancy in a committee.
