Guest Dassie Baum Posted May 18, 2012 at 10:52 PM Report Share Posted May 18, 2012 at 10:52 PM Good afternoon,My board has been conducting meetings by conference call in between face-to-face meetings for several years, even though there is nothing explicit in our by-laws (though we do have a provision for e-mail voting). Does silence in the by-laws mean that they don't count? The calls have an agenda, minutes similar to an in-person meeting, motions, voting. Thanks,Dassie

Rev Ed Posted May 18, 2012 at 11:49 PM Report Share Posted May 18, 2012 at 11:49 PM They do not count as official meetings. However, if the Board finds that this works and is efficient, then I see no reason why the By-laws could not be amended to allow for them.
jstackpo Posted May 19, 2012 at 12:24 AM Report Share Posted May 19, 2012 at 12:24 AM And RONR has some good suggestions for "Conference Call" meetings. But they do have to be bylaw authorized. p. 97 ff.
