However, I hope you can help me with this. I am on the board of a small Town museum, 501c3; we have board laisons from local village govts who are elected by their boards to serve on ours. One laison has been approached by our nominating committee to run for secretary. Some members of our board feel that her serving as secretary will constitute a conflict of interest. RONR doesn't define "Conflict of Interest", leaving it to the unique circumstances of each association. See p. 407. line 21 ff. but it probably doesn't apply.
