Secretary-Treasurer Absence

If the Secretary-Treasurer is absent from a meeting but has assigned the Assistant Superintendent to present his report, etc., how does that reflect in the minutes?

A motion is made?

Who signs the minutes and what title is used?

If there is no "motion", or request for a decision of some sort, the Super, with the permission of the assembly, can just read the report. What is hidden in that "etc." of yours?

Any motions would have to come from members (I presume the Super is not a member).

Appoint (or elect) a Secretary pro tem to take minutes.

And it might be helpful to think of the secretary and treasurer as two offices, even if the same person is wearing both hats (and even if your bylaws combine the two into one office). As Mr. Stackpole suggests, you'll select someone to act as secretary pro tem (a temporary secretary) to prepare (and sign) the draft minutes. But there's no need to do so for the absent treasurer.

If the Assistant Superintendent is not a member of the group, then the Secretary should not have asked him/her to pass along the Report. However, if no one objected at the meeting, it really does not matter much. But in the fututre it would be better to have another Board member provide the report. The Minutes need only mention that the report was made.

However, a Secretary pro tem should have been elected to create the Minutes.
