Guest ANNECOB Posted June 4, 2012 at 12:05 PM Report Share Posted June 4, 2012 at 12:05 PM What is the procedure if the Nominating Committee is unable to find sufficient nominees to fill vacant positions on the board? Our by-law indicates that we will accept nominations from the floor at the AGM, but what happens if there are insufficient nominees at that time? Example: 7 vacant positions. 2 nominees. No names forthcoming via the Nominating Committee or from the floor. What happens? Does the existing board remain in place? Many thanks.
jstackpo Posted June 4, 2012 at 12:13 PM Report Share Posted June 4, 2012 at 12:13 PM The current board (or at least those not possibly replaced by the two nominees) MAY stay in place. Go read your bylaws and see what they say about term of office and look at p. 574.First check the bylaws. Officers (current ones) may be in office "until the election of their successors" - if no election, they STAY in (at least until they quit or you finally do complete the election).Or....Announce that because of a lack of leadership interest, the organization will dissolve itself and go out of business. Really. Organizations don't last forever, and it is much better to close up shop formally than just drift along, and then wonder what happened to the bank account, far too long after the fact to do anything about it.Often enough a threat like this one will shake some people out of the woodwork who will be willing to serve after all. But if it doesn't, there is a message there...

Even if not nominated, people will sometimes agree to serve if they have the demonstrated support of the membership.
