Guest Grey Posted June 20, 2012 at 04:08 PM Report Share Posted June 20, 2012 at 04:08 PM This is a Board of a National Club. There is only one members' meeting per year. The Board recently instituted a new rule regarding Club Awards, which is within the purview of the Board. Evidently some Club members are unhappy. Our Constitution does not address how members can overturn such a Board decision. Does Roberts Rules address this?

Our Constitution does not address how members can overturn such a Board decision. Does Roberts Rules address this?Yes. At a membership meeting, you can vote to Rescind, Repeal, Annul, or Amend Something Previously Adopted (§35), whatever is appropriate to the situation. But you'll have to see whether, and how, you can call a meeting. If there is no way to call a Special Meeting (§9) before next year, then you'll just have to wait. Does Roberts Rules address this?If this happens to be an area where the bylaws give the board exclusive control, then the membership may not be able to overturn the board decision. Read the bylaws carefully.
