Guest Regina Posted July 16, 2012 at 05:02 PM Report Share Posted July 16, 2012 at 05:02 PM The Executive meeting had adjourned, but 4 of the 5 members were still present and began a discussion which lead to a motion that was moved and seconded. How do you record this special session as part of the original meeting?
Chris Harrison Posted July 16, 2012 at 05:07 PM Report Share Posted July 16, 2012 at 05:07 PM How was the meeting Adjourned? Did the President announce the meeting was Adjourned (with business still pending) and walk out or was a vote taken and adopted to Adjourn? Todd Wynn Posted July 16, 2012 at 05:11 PM Report Share Posted July 16, 2012 at 05:11 PM The Executive meeting had adjourned, but 4 of the 5 members were still present and began a discussion which lead to a motion that was moved and seconded. How do you record this special session as part of the original meeting? You can't, since this happened outside a meeting. Once adjourned, that meeting is over. Guest Regina Posted July 16, 2012 at 05:15 PM Report Share Posted July 16, 2012 at 05:15 PM The President adjourned the meeting (no business was pending). Only one person had left and a discussion took place on another topic. This topic lead to a motion being made.
Gary c Tesser Posted July 16, 2012 at 05:16 PM Report Share Posted July 16, 2012 at 05:16 PM Regina, it was the same as if they all got up and went to the diner next door and discussed it over cheesecake. And allowed the waitress to participate in the debate and to vote.
Trina Posted July 16, 2012 at 05:39 PM Report Share Posted July 16, 2012 at 05:39 PM In other words, no business was actually conducted, no matter what the people involved thought they were doing with their discussion, motion, second, vote(?), whatever. Nothing should be recorded. The board could consider the motion at its next proper meeting.
Tim Wynn Posted July 16, 2012 at 05:43 PM Report Share Posted July 16, 2012 at 05:43 PM I concur with the other posters, including the new guy. The action of the four members outside a meeting is not any more an act of the body as is the act of the fifth member acting alone, which is to say not at all. Motions are made in meetings, not just after them. Try again at the next meeting.
Chris Harrison Posted July 16, 2012 at 06:00 PM Report Share Posted July 16, 2012 at 06:00 PM Given the circumstances I agree with everyone else. The reason I asked my original question was because we have had many people post here that the President gets upset at something that is going on and Adjourns the meeting and storms out and our response is that the VP can then take the chair and continue the meeting (with a few exceptions-which this is one of-the President doesn't have the authority to unilaterally Adjourn a meeting). Since the OP said that 4 out of the 5 members stuck around after the Adjournment it was possible that this might have been the case.I concur with the other posters, including the new guy.Any relation?
