email voting on a request

An elected Board Member emailed the Board and presented a request for a donation of "scoring d-tags" for a cross country meet (about $500). He explained who, what, where, when and that our group would be given publicity on the fliers and more. He also asked this through email because he was out of town and had a deadline to get the registration/info out there. He wants to be able to put the sponsorship on the flier so he is asking for an answer as soon as possible. We've donated many times as our group supports running and fitness and a mission to support youth running, too. We have a line item in our budget for such groups.

The majority of board members are in favor of giving the donation for the d-tags but one member does not want us to vote via email. He says we can't do it. We can wait another 2 weeks and discuss at a board meeting and vote. There is nothing in our bylaws about electronic voting (email). We have done some email voting in the past years due to circumstances and deadlines. Most of us do not see a problem with this. He wants to know what Robert's Rules says. Please advise.

Robert's Rules says you can't vote by e-mail unless your bylaws says you can. So you should wait another two weeks and do it right.

RONR, 11th ed., page 97, lines 9 through 14.

Even though the majority wants to vote by email for this request, we can't? If so, we've done this a few times over the past 10 years.

We don't abuse it - we only do so on situation/importance and deadline.

If voting by email is not authorized in the bylaws, the emails contain a bunch of opinions, not decisions made on behalf of the board.

It is possible for the members to individually agree to do something and later ratify that decision in a regular or properly called meeting, but those who take action (the treasurer, perhaps, if he distributes money) risk that the ratification would fail. If that happens, they are then responsible for spending the organization's money without authorization.

It's best to vote on a motion in a meeting. If you can call special meetings (are those authorized in the bylaws?), then you can call a quick meeting to meet your tight deadline. But email is out.
