Guest Kevin Posted August 20, 2012 at 02:08 PM Report Share Posted August 20, 2012 at 02:08 PM Our national organization is having an election. The nomination period has closed and there are no contested races. It has always been our policy, but not a bylaw. to have the members mail their pre-printed ballots to a third party CPA for counting. This entire process generally costs around $1000. Since all races are unconested, do we need to send out ballots to all of the voters? It is such a waste of resources and time if there are no contested races. Write-in ballots are not allowed. Our bylaws state this about the election:4. No votes for write-in candidates will be counted.5. A list of the nominees shall be published in the September issue of the election year Corporation Newsletter. Ballots with instructions shall be sent to each eligible voter. The voting must be complete within five (5) weeks. The results of these votes shall be announced in the Corporation Newsletter.
George Mervosh Posted August 20, 2012 at 02:25 PM Report Share Posted August 20, 2012 at 02:25 PM Under the rules in RONR, if the bylaws require a vote by ballot, you must have a vote by ballot. No exceptions.
Guest Edgar Posted August 20, 2012 at 02:27 PM Report Share Posted August 20, 2012 at 02:27 PM Ballots with instructions shall be sent to each eligible voter. While your bylaws can't be properly interpreted without reading them in their entirety (something that's beyond the scope of this forum), I think one could make a pretty good case that the rule you cited requires a ballot vote regardless of the number of nominees. Tim Wynn Posted August 20, 2012 at 04:19 PM Report Share Posted August 20, 2012 at 04:19 PM This entire process generally costs around $1000. That's a pretty good motivator to amend the bylaws to prescribe a less expensive method.

If you can come up with a cheaper alternative than having a CPA process the returned ballots, however, nothing would seem to prevent that.
