jrd Posted September 9, 2012 at 01:58 AM Report Share Posted September 9, 2012 at 01:58 AM A member of our association gave his letter of resignation. He is not a member of the executive board. Do we have to vote on his resignation or can the president just accept it?
Chris Harrison Posted September 9, 2012 at 02:05 AM Report Share Posted September 9, 2012 at 02:05 AM The President cannot unilaterally accept a resignation unless the bylaws grant him that authority. Who do the bylaws authorize to accept resignations? If the bylaws are silent on the subject what do they say regarding the Board's authority between Membership meetings? Shmuel Gerber Posted September 9, 2012 at 02:07 AM Report Share Posted September 9, 2012 at 02:07 AM The president can accept it only if the bylaws say so. Under the rules in RONR, the resignation is submitted in writing to the secretary, or orally at a meeting, and is not effective until it has been accepted by the society itself, which is done by vote (or unanimous consent) at a meeting.
