meeting notice mailed out late

meeting notice for annual meeting was mailed out late, meeting will take place, can any business be conducted, can items be voted up on ? Would complete membership [not all attend annual meeting] ratify any voting that took place ?...

Is the date, time, and place of the annual meeting established in your bylaws? Somewhere else?

Do your bylaws require notice of the annual meeting?

It may depend on "How Late?"

But, it does seem to be an absentee violation which would render all actions null & void, p. 251 c).

However, someone will have to raise a point of order at the meeting, I suppose, or a later one, in order for the point of order to "take effect", so to speak.

Which raises a question: if the point is ruled well taken, but then appealed, can the members present at the annual meeting decline to sustain the chair, thus asserting that the meeting is OK after all, even though the absentee rights have been violated by the late notice?

While the assembly has no authority to validate invalid notice, it certainly has the right to decide if the notice is in accordance with the rules, despite what our parliamentary minds have to say on the matter.
