Guest Mary Beth Posted September 19, 2012 at 02:03 PM Report Share Posted September 19, 2012 at 02:03 PM What is the standard for conducting a vote by email in circumstances where a meeting cannot be called in time make a decision. Many organizations appear to be moving to a procedure that includes using a email that includes the motion, a time frame for responses, the need for responses to be from the the majority of the voting members (I've seen this the same as a quorum and also where virtually all must at least acknowledge receipt regardless of participation), the need for votes to be via "reply all", all followed by a confirmation vote at the first board meeting following the email vote. Chris Harrison Posted September 19, 2012 at 02:25 PM Report Share Posted September 19, 2012 at 02:25 PM Unless your bylaws specifically provide for voting by email you can't do it (RONR pp. 423-424). If the bylaws do provide for voting by email it will be up to you all to work out the details.
Gary Novosielski Posted September 19, 2012 at 11:38 PM Report Share Posted September 19, 2012 at 11:38 PM The standard for conducting a vote by e-mail is that doing so is prohibited, according to the rules in RONR.If you have special rules in your bylaws for e-mail voting, follow those instead. Otherwise, anything you do by e-mail will be null and void.
