Guest Sarah Redmond Posted October 8, 2012 at 08:28 PM Report Posted October 8, 2012 at 08:28 PM Can the Board appoint a 2nd Secretary and Treasurer? Our Treasurer is out of town alot on business, and it would be easier if we could appoint a "back up" treasurer to sign documents and such.
Guest Edgar Posted October 8, 2012 at 08:35 PM Report Posted October 8, 2012 at 08:35 PM Can the Board appoint a 2nd Secretary and Treasurer?Probably not (and certainly not as far as RONR is concerned)Firstly, your board has only the authority given it by your bylaws. Secondly, if your bylaws call for "a treasurer", then that means one and you'll have to amend your bylaws if you want two. Or you could replace the current treasurer if he can't do his job. Same goes for your secretary. Or if one person serves in both offices.

In most cases, they are elected by the membership. So can the board simply appoint more of them? Let me think about it-NO.
sMargaret Posted October 9, 2012 at 01:55 PM Report Posted October 9, 2012 at 01:55 PM However, if what you need this additional person for is to be another signature for checks, then it is possible that you could make a motion to add someone to the bank account for signing authority, provided the bylaws don't have provisions for signing authority that contradict this.
