Our Chairman of the Board quit. The Vice Chair took over, but has never been voted in as the "Chairman". Now he has gone out on a medical leave and he "appointed" another board member to take over duties as "Acting Chairman". The Vice Chair has said he will be out 1 month....but rumor has it that he could be gone as long as 8+ months. Can we ask for a doctors letter so we know how to proceed? Can the Vice Chair appoint another person as Acting Chairman when he wasn't the Chairman to begin with? EEEEEKKKKK! What a mess!

There is no "Acting Chairman" (unless your bylaws provide for one), but the vice-chair became the chair as soon as the chair's resignation was accepted. No need to "vote him in".

And there are no "leaves of absence" in RONR-Land, so forget the doctor's note. If the (new) chair can't do his job, he can be removed from office (see FAQ #20).

In the meantime, you can elect a "chair pro tem" (a temporary chair) at each meeting where the chair is absent (until you fill the vacancy in the vice-chairmanship).

Edgar beat me to it. I concur - the "old" Chairman resigned, which meant the Vice Chairman became the Chairman. There was then a vacancy in the office of Vice Chairman which should have been filled as soon as possible. Of course, that's what should have happened.

If you haven't filled the Vice Chairman's position then you have to elect a Chairman pro tem at every meeting until either the Chairman returns, the Vice Chairman position, or the organization removes the Chairman and fills the positions of Chairman and Vice Chairman.

Two comments:

* the vice chair automatically becomes the chair, unless the associations bylaws specifically give a different method for filling a vacancy in the position of the chair.

* Even a Chair would not be able to appoint another person as the Acting Chair - that would be up to the assembly to do, in some manner. Perhaps what the Chair meant to do was find a volunteer, and just skipped the part where he was meant to confirm this with others?

By the way, did the organization ever find a new vice-chair?
