Guest P Brown Posted December 11, 2012 at 06:47 PM Report Share Posted December 11, 2012 at 06:47 PM For a committee meeting of three in which two of people were not there and one is board chair, do you approve the past meeting minutes as you normally would even though those directors were not present
Chris Harrison Posted December 11, 2012 at 06:56 PM Report Share Posted December 11, 2012 at 06:56 PM Generally committees don't need to have minutes. However, assuming that there is a quorum (which is doubtful in the case there being only 1 out of 3 members present) the members that are there can approve minutes even if there are absent members. Guest Edgar Posted December 11, 2012 at 07:21 PM Report Share Posted December 11, 2012 at 07:21 PM And, assuming that a quorum isn't present, you can't do much of anything (including approving minutes).

Unless that one person has a split personality, I supposethere will not be much "debate", will there?
