rthib Posted December 31, 2012 at 05:13 AM Report Share Posted December 31, 2012 at 05:13 AM I think I know the answer, but wanted others opinion.(And of course the ultimate answer is "see RONR on who interprets bylaws" was wondering opinion.)Bylaws executive board officers serve for two year terms. Elections not held at end of two years. Two Questions:1) Are there currently no officers?2) If bylaws state that executive board issues call for meeting to hold elections, would "old" officers still be able to issue call or would members need to look elsewhere to find someone authority to call elections (such as a higher body)? jstackpo Posted December 31, 2012 at 06:59 AM Report Share Posted December 31, 2012 at 06:59 AM As you anticipated, it depends. In this case it depends on some precise wording in your bylaws relating to the length of a term in office and what might happen when the term is completed. See p. 573 line 28 ff through all of p. 574.
Guest Nancy N. Posted December 31, 2012 at 10:45 AM Report Share Posted December 31, 2012 at 10:45 AM And ... I feel fairly confident in saying that "old" officers are former officers. -- and former officers are no longer officers. -- And people who are no longer officers are not officers -- and people who are not officers have none of the authority that officers do. That includes calling meetings.-- Q. E. D.-- Nancy N.q. t.
Guest Edgar Posted December 31, 2012 at 01:15 PM Report Share Posted December 31, 2012 at 01:15 PM Are there currently no officers?Look in the bylaws for something like "officers shall serve for two years and/or until their successors are elected". If those last words are missing then you probably have no officers.
