Quorum - Simple Majority

Hello.  Our Board consists of 10 seats.  We normally follow to be sure we have 6 members that can attend to vote.  I went back to the by-laws, which read, "A quorum for conduct of business at any meeting shall be a simple majority of the number of appointed members of the Board of Health."  We've been having quorum issues, and now we have someone moving... leaving the Board.  Until we are able to replace that Board member, how many members would we need to have present at a meeting to be able to conduct business/meetings and vote?

You'll probably need a majority (i.e. more than half) of the actual number of members (not the potential number of members). In other words, count heads, not seats. If you've only got nine members on your board you'd need five members to have a majority present.

 

[And note that some of the old-timers on this forum get apoplectic when they see the term "simple majority".]
