sacpark Posted August 10, 2014 at 01:24 AM Report Share Posted August 10, 2014 at 01:24 AM Where only the Secretary (myself), Financial Secretary and Vice President are left for Board members after resignations by President and Treasurer, can the Secretary make an executive decision for the Board ? Especially when the other 2 remaining Board Members want to liquidate the club ? I the Secretary and at one time the Treasurer as well, worked hard and brought money into the club. I believe with the right people we can make it work.
Chris Harrison Posted August 10, 2014 at 02:18 AM Report Share Posted August 10, 2014 at 02:18 AM You (the Secretary) only have the authority the bylaws give you. Also, I would question whether the Board has the authority to "liquidate the club" in the first place.
Rev Ed Posted August 10, 2014 at 02:42 AM Report Share Posted August 10, 2014 at 02:42 AM Firstly, you only have the authority granted to you by the By-laws. Secondly, what do the By-laws state about terminating (or liquidating) the organization? See pages 563-564 of RONR Chapter 11 for more information about terminating/dissolving an organization.
