If the proxy holder dies, the proxy votes he holds probably die with him, unless assigned to another. You would have to check your organization's rules to see if and how they could be reassigned. In your case, if there is another director who generally votes the same way as the director who died, then perhaps the proxy votes could be assigned to him; but this is a murky area.
