jstackpo Posted October 16, 2015 at 12:05 PM Report Share Posted October 16, 2015 at 12:05 PM The VP becomes the President (no "filling roles") automatically and instantly, unless your bylaws (go check them) say otherwise. If the VP refuses to accept the job, this actually means that he just resigned, too, and you have two vacancies to fill.
Gary Novosielski Posted October 19, 2015 at 01:47 AM Report Share Posted October 19, 2015 at 01:47 AM If a President resigns, must the VP fill ed President's role OR can the board elect a new president As noted, the VP instantly becomes president, and a vacancy occurs in the office of vice-president, also instantly, unless you have a 2nd VP, or additional numbered VPs, in which case everyone moves down one seat and the vacancy occurs in the highest numbered VP. Unless your bylaws have a rule about presidential vacancies in particular, they don't occur, unless the VP seat was already vacant. The new president cannot choose to return to the vice-presidency. He can resign as president, but is then out of office completely.
