But a more pertinent question is whether the board president has the authority to establish it in the first place. That would be true only if the bylaws provide such authority. Can a board member Chair that committee? It is not usual for the president alone to establish new committees. Check your bylaws to see if this was a valid action. But it is not unusual for presidents to have appointment power to committees, once established. Regardless of who appoints, there's no rule in RONR that would prevent board members from serving on it, or chairing it, so long as it was properly established.
