Guest JimG Posted October 2, 2017 at 02:36 PM Report Share Posted October 2, 2017 at 02:36 PM Our small social club has adopted RONR for all of our business. Unfortunately we have ended up with a dysfunctional Board which needs to be replaced for the health of our club. Our club By-Laws make no provision for removing/replacing a complete Board. Is there any guidance or protocol somewhere in RONR which we could use to get through this process without just "winging it".
Richard Brown Posted October 2, 2017 at 02:46 PM Report Share Posted October 2, 2017 at 02:46 PM Yes, RONR has an entire chapter (Chapter XX) on discipline, which includes removing officers for cause. Depending on the wording of your bylaws, there might be other options available. For starters, you might look at FAQ # 20: http://www.robertsrules.com/faq.html#

If the Board is dysfunctional because of lack of attendance at meetings, perhaps "suggesting" that those who do not even show up resign might work. Sometimes, "dysfunctional" boards are due to members whose entire "role" is causing trouble. If you give such folks a "job" with some work to be done - sometimes they leave.
