Does the appointed Chair need Board Approval to invite a non elected member to attend board meetings

Our Not for Profit Chairperson invited the "Public Officer" to attend board meetings to assist with understanding our clubs charitable status, duties etc to make sure we are meeting our Tax Office compliance.  The Public officer continues to attend meetings, some board members are not happy.  What is the best way to handle this?

Unless your rules say otherwise, the board could exclude any nonmembers of the board by majority vote.

I agree with HHH but would suggest first discussing it privately with the chairman.

The board itself certainly has the final say in the matter.
