Guest Vermonter Posted January 24, 2019 at 06:44 PM Report Share Posted January 24, 2019 at 06:44 PM If a non-board member is part of a committee, but the committee wishes to discuss a confidential matter known only to the board, can a committee member be excluded? Not by any provision of the rules in RONR . If he is a member of the committee, he has a right to be given notice of all meetings and to attend and participate in all meetings of the committee. Guest Zev Posted January 24, 2019 at 08:54 PM Report Share Posted January 24, 2019 at 08:54 PM A workaround can be accomplished by the committee appointing a special sub-committee consisting of all members of the committee minus the non-member. Or, the regular committee could informally meet at a local watering hole to discuss the issue if no formal recommendation is needed.
Richard Brown Posted January 24, 2019 at 10:03 PM Report Share Posted January 24, 2019 at 10:03 PM Another work-around is that the committee member in question can be removed from the committee. The procedure for doing that depends on how he was appointed/selected in the first place.
