Guest zenia Posted June 18, 2019 at 01:01 AM Report Share Posted June 18, 2019 at 01:01 AM We have a committee that has made a controversial proposal. The committee is supposed to get approval from the executive board. However, the committee is made up of board members. The numbers are: 9 voting members of the board (president does not vote accord to our constitution, unless to break a tie); 6 committee members, of which 5 are on the board, ad 1 is the president. Can this board approve the recommendation of the committee? I have tried to find a relevant passage in RR edition 11, but have come up blank. Our time is short -- advice would be welcome. Thank you. Guest zenia Posted June 18, 2019 at 01:02 AM Report Share Posted June 18, 2019 at 01:02 AM Correction: 5 are on the board including the president. One member is not on the Board. Sorrry for the confusion.
Joshua Katz Posted June 18, 2019 at 01:03 AM Report Share Posted June 18, 2019 at 01:03 AM If the committee makes a recommendation to the board, and the proposed action is within the scope of the board's power, then sure, the board can approve the committee's recommendation. The matter of the overlap should have been raised when the committee was appointed (if, indeed, it is a problem).
Guest zenia Posted June 18, 2019 at 01:16 AM Report Share Posted June 18, 2019 at 01:16 AM Thank you for the quick response. I'll make sure the president is aware of that point. I think in this case it is a problem, because of the way it was presented -- I think it was forced on the board with little chance of dissent. I don't have time to explain the details -- but thank you!

Agreeing with Mr Katz, yes, it can. The fact that the board and the committee have overlapping membership does not make any difference. It is not relevant.
