Guest Dick H Posted September 20, 2019 at 06:44 PM Report Share Posted September 20, 2019 at 06:44 PM A board member sent a resignation letter in an Elton all board members. At a special meeting to act on this, is the resigning board member still counted for quorum purposes?
Guest Dick H Posted September 20, 2019 at 06:46 PM Report Share Posted September 20, 2019 at 06:46 PM An email not an Elton
jstackpo Posted September 20, 2019 at 07:01 PM Report Share Posted September 20, 2019 at 07:01 PM Yes. A resignation is, per page 289, actually a request to be allowed to quit. So until the resignation is accepted, the person remains a member.
Guest Dick H Posted September 20, 2019 at 07:15 PM Report Share Posted September 20, 2019 at 07:15 PM Thank you. And as I read it we have to act on the resignation even if he then wants to rescind?
Bruce Lages Posted September 20, 2019 at 07:26 PM Report Share Posted September 20, 2019 at 07:26 PM It's not rescinding, but the request can be withdrawn before any action is taken on it.

No. If he withdraws (not rescinds) the resignation before the question has been stated on it by the Chairman, there is no longer any resignation to act on. See FAQ #18.
