Guest Bdw2003 Posted September 29, 2019 at 03:15 PM Report Share Posted September 29, 2019 at 03:15 PM If there is nothing in the bylaws related to who can call a special called meeting, then who is authorized to, and what is the proper procedure to, call a special meeting for business arising between regular stated meetings? jstackpo Posted September 29, 2019 at 03:21 PM Report Share Posted September 29, 2019 at 03:21 PM Special Meetings cannot be called at all unless authorized in the bylaws. The "authorizing" provisions should cover details as to who can call them, advance notice times, &c.

Guest Bdw2003 Posted September 30, 2019 at 02:08 AM Report Share Posted September 30, 2019 at 02:08 AM So even if Robert's Rules are followed by a monthly meeting organization, absent any other bylaw concerning special meetings, none could be called without a majority (2/3?) of the membership amending their bylaws prescribing the rules for such meetings? No. Without any bylaw, special meetings cannot be held. But with enough support you could amend the bylaws.

Well, we're guessing what your bylaws say about their own amendment. Whatever your rules are for amending the bylaws, those would have to be followed. Logically, this is correct, but it carries an incorrect connotation. If there is no bylaw authorizing special meetings, no special meeting can be held, period. Guest Zev Posted September 30, 2019 at 06:19 AM Report Share Posted September 30, 2019 at 06:19 AM It is possible, however, to hold an adjourned meeting that is scheduled at a regular meeting and having a particular subject postponed to it, in much the same way as a special meeting would and having the notice display the subject(s) to be dealt with.
