Guest policies and proceedures

The membership aproved a constitution that the board has the right to form policies and proceedures.  The board does not feel that it has to bring back to the membership those written policies and proceedures or show them to the membership on request. Is the board in order.

If the Board formally approved the p&ps, then the general membership can require that the minutes of the approval meeting (which should include the text of the p&ps that were adopted) be read to them at a meeting - p. 487, line 17ff.  Requires a 2/3 vote or majority with notice.

It may be time for a constitutional amendment, or a new board, or both.  As @jstackpo pointed out, the membership, by a 2/3 vote can review anything the board adopts--or, for that matter, rejects, by having the appropriate minutes read (or otherwise produced).

Also, depending on a close reading of the bylaws, it may be possible for the membership to rescind or amend things previously adopted by the board.

It makes no sense to me that the membership of an organization would allow a board to operate in ways that the membership is unaware of.
