It's difficult to understand what went on.  If the bylaws were not drafted and approved until the board drafted and approved them, how could there have been a board, if there were not yet any bylaws?

If the bylaws were already in existence, then they presumably contained rules for how they could be amended, and neither the board nor the membership could amend them without following those rules.  If there were no such rules, then the bylaws could be adopted or amended only by the membership, and would require previous notice and a 2/3 vote to amend, or a majority to initially adopt the bylaws of a new organization.

In the typical case, only the membership can amend the bylaws, but it depends on what your bylaws say, or rather what they said before then were changed.
