Furthermore, the membership has the right to instruct the board and further restrict its operations. The board has only such powers as are granted by the bylaws. It cannot make up powers. (Although it is a good idea for the association to adopt them) But even if you adapt RONR as parliamentary authority, RONR is preceded by your bylaws, covenants and (state) laws.
