Guest Nancy Bondurant Posted May 21, 2021 at 03:30 AM Report Share Posted May 21, 2021 at 03:30 AM Our Road maintenance Board of Directors has been holding meetings at the homes of directors instead of at the corporation office as required by Hawaii Statutes. They have not approved any of these "meeting" minutes and as much as I can tell, they have not moved or voted on their decisions, including those decisions about the ongoing lawsuits. Are any of these decisions valid?

Are any of these decisions valid? It is all not following RONR. But you better have a lawyer check it against the state laws and giving you advice on further steps (if any)
Richard Brown Posted May 21, 2021 at 10:17 AM Report Share Posted May 21, 2021 at 10:17 AM Guest Nancy, we need more info. For openers, please tell us what kind of organization this is. Is it a public body? A homeowners association? Something else? You said the board has not voted on their decisions. What do you mean by that? How are they making decisions if they are not voting on them? By unanimous consent? That is an appropriate method of making decisions. RONR has no provisions regarding where meetings should be held. A member’s home is perfectly acceptable as far as RONR is concerned, but your own rules or superior rules such as local or state law might require it. That is a legal question which is outside the scope of this forum. As to the minutes, although minutes should be approved, failure to approve them does not affect the validity of actions taken.
