Guest Scott Posted December 22, 2023 at 04:24 PM Report Share Posted December 22, 2023 at 04:24 PM Hi all, Need help with a situation that our bylaws don't cover and was wondering if Robert's Rules covers something like this - Our president's 2 year term is up and is stepping down and the vice president has called it quits. At the next election in one of the board members will step up and run for president. His seat on the board is a three-year term not to expire till the end of 2024. If that board member runs for president and gets the position what happens to his seat? Do we need to also vote on it at the next election or does the Board member who moved up to the president's position appoint another member to fill the vacant seat? My understanding from these facts is that the President serves ex officio as a member of the board. The following responses are based on that assumption - please correct me if that is mistaken. If the board member is elected as President, and the President serves ex officio as a member of the board, then the board seat he held will become vacant. Since the assembly will already be conducting its regular elections at that time, the assembly can and should proceed to fill the vacancy then and there. The board member does not simply get to pick his successor, unless your bylaws so provide.
